Quick orientation: Before diving into sections, here is the 30-second version of what the Act is and why it exists. If you remember only these three cards, you understand 80% of banking regulation in India.

Quick Summary

What is it?

An Act to consolidate & amend law relating to banking. Defines banking under Sec 5(b) as accepting public deposits for lending/investment repayable on demand or otherwise withdrawable by cheque.

Why needed?

Pre-1949, Companies Act 1913 couldn’t prevent bank failures due to low capital. Public lost savings. Act introduced minimum capital, licensing, audit.

Who are covered?

In simple words: Any bank that takes your deposit.
• Big banks: SBI, HDFC, ICICI, Axis – all PSU & private banks
• Local co-op banks: City co-op bank, district co-op, state co-op Banks. 1,482 urban + 58 multi-state co-op banks are also under direct RBI control

Why this timeline matters: The Act didn’t start perfect. It evolved after every crisis — from bank failures in the 1940s to PMC Bank fraud in 2019. Seeing the dates helps you understand why RBI powers kept increasing.

How to read the Act: Don’t read all 56 sections linearly. Think of it like a building — foundation (what is banking), main floors (business rules), security system (who can run a bank), emergency exits (how banks are merged/closed), and an extension wing (co-op banks). The tabs below break it that way.

Act Structure — 5 Parts

Part I — Preliminary (Sec 1-5A)

The dictionary. Defines banking, banking company, approved securities. Sec 7 bans use of word ‘bank’ by non-banks. Sec 5A overrides MoA.

  • Short title & extent — whole of India
  • Banking = accepting deposits for lending/investment
  • Word ‘bank’ protected

Part II — Business of Banking (Sec 6-36)

Core rulebook. Sec 6 permitted business, Sec 8 prohibition of trading, Sec 11 minimum capital, Sec 12 voting rights capped 26%, Sec 22 licensing, Sec 23 branch licensing, Sec 24 SLR, Sec 35 inspection, Sec 35A directions.

Control Over Management (Sec 10-36AA)

Board must have 51% experts Sec 10A, whole-time chairman Sec 10B, RBI approval for MD Sec 35B, power to remove managerial persons Sec 36AA, appoint additional directors Sec 36AB, supersede board Sec 36ACA — used in PMC, LVB.

Winding Up & Mergers (Sec 44A,45)

Sec 44A — voluntary amalgamation needs RBI sanction + 2/3 shareholders. Sec 45 — RBI can apply to Centre for moratorium + prepare reconstruction scheme. Yes Bank 2020: Moratorium 5 Mar, Scheme notified 13 Mar under 45(4)(7), authorized capital ₹1,100cr → ₹6,200cr, SBI rescue.

Co-operative Banks (Sec 56)

Act applies with modifications. Post-2020 Amendment, Sections 10,10A,10B,35B,36AB applicable. RBI can license, inspect, supersede, merge co-ops exactly like commercial banks. PMC-Unity amalgamation used this.

The heart of the Act: These six powers are why RBI is called the banking regulator. Each section was written after a specific failure — licensing after 1940s bank collapses, inspection after PMC hid loans, reconstruction after Yes Bank almost failed. Click each card to see a real-life example.

RBI’s 6 Superpowers — Click to Expand

🔑 Sec 22 — Licensing

No shop can be a Bank without RBI license

Like driving license for handling public money. RBI checks capital, management, public interest. CRAR ≥9%, net NPA ≤5%.

🔍 Sec 35 — Inspection

Surprise audit anytime, examine on oath

Annual Financial Inspection + Risk Based Supervision. Can examine directors on oath under 35(3), order scrutiny 35(1A).

🧭 Sec 35A — Directions

Binding orders in public interest

Order: Stop loan, raise capital, change CEO. Used during Yes Bank crisis. Directions can be for depositors, banking policy, proper management.

📈 Sec 21 — Control Advances

Decides where banks must lend

Priority sector 40% to farmers, MSMEs, housing. RBI sets interest rates, margins, max guarantees.

🚫 Sec 36AA — Remove Board

Sack crooked board overnight

RBI can remove managerial persons, appoint additional directors 36AB, supersede whole board 36ACA up to 5 years. Used in PMC, Lakshmi Vilas Bank.

🔄 Sec 45 — Reconstruction

Merge dying bank in 48 hours

RBI applies to Centre for moratorium + scheme of reconstitution/amalgamation. Yes Bank → SBI-led rescue, PMC → Unity SFB.
Teeth behind the rules: Without penalties, RBI directions are just suggestions. Section 46 provides criminal penalties and Section 47A gives RBI direct monetary penalty power without going to court — this is why banks take KYC and audit lapses seriously.

Penalties — Sec 46, 47A
